Membership rules
PROCEDURES FOR PARTICIPATION IN THE ASSOCIATION (hereinafter MEMBERSHIP)
1. General provisions
1.1. Rules of participation (hereinafter membership) and membership relations in the Azerbaijan Construction Manufacturers Association (hereinafter the Association) in accordance with the principles of justice, equality, humanism, transparency, legality and mutual benefit, ratification of the relevant normative legal acts of the Azerbaijan Republic It is regulated by international normative legal acts, the Charter of the Association, decisions of the governing body of the Association and this document.
1.2. Commercial legal entities operating legally in the territory of the Republic of Azerbaijan, commercial legal entities operating legally in the territory of foreign countries may be members of the Association in accordance with the requirements set forth in this rule.
1.3. Members of the Association may elect and be elected by the relevant bodies of the organization within the rules, participate in the activities of the organization in accordance with the regulations, make proposals and speeches, represent the organization in accordance with the relevant permission of the governing body of the Association. written), as well as the resources and opportunities available to the organization in a privileged manner within the rules.
1.4. Membership in the Association is approved by the decision of the General Meeting on the recommendation of the Chairman of the Association.
2. Members of the Association
2.1. Members of the Association can be:
2.1.1. Local commercial legal entities engaged in construction activities (construction of apartment houses, individual houses and various non-residential facilities, as well as construction of bridges, tunnels, etc.);
2.1.2. Foreign commercial legal entities engaged in construction activities and their representative offices or branches in the Republic of Azerbaijan.
3. Conditions for membership in the Association
3.1. To be duly registered as a commercial legal entity in the Republic of Azerbaijan or abroad;
3.2. To be duly registered as a taxpayer in the Republic of Azerbaijan;
3.3. To operate for at least 6 (six) months.
4. Restrictions on membership in the Association
4.1. Construction companies that have a court decision on violation of normative rules on construction and suspension of their activities shall not be admitted to membership earlier than 1 year after the date of execution of that decision and resumption of their activities;
4.2. Construction companies whose names are on the “black list” established for construction companies that disregard the normative rules on construction and regularly violate them are not admitted to membership;
4.3. Irregularly operating construction companies whose activities are permanently disrupted are not admitted to membership;
4.4. Individuals are not accepted as members of the Association.
5. Requirements for membership in the Association
5.1. Construction company wishing to become a member of the association:
5.1.1. to hold an internal meeting and decide to become a member of the Association;
5.1.2. send an application for membership to the Chairman of the Association on the official form.
5.2. The following documents must be attached to the application:
5.2.1. A copy of the extract from the register on the registration of the candidate organization in the State Tax Service under the Ministry of Economy of the Republic of Azerbaijan;
5.2.2. A copy of the taxpayer identification number of the candidate organization in the Republic of Azerbaijan – TIN;
5.2.3. Bank details of the candidate organization;
5.2.4. A copy of the decision of the candidate organization on membership in the Association (must be stamped);
5.2.5. Materials (projects, etc.) reflecting the activities of the candidate organization.
6. Registration of membership in the Association
6.1. Membership in the Association is formalized by the decision of the General Meeting of the Association.
6.2. The Executive Office of the Association informs the candidate organization that meets the requirements and conditions for membership about the meeting of the General Meeting.
6.3. The newly admitted member is presented with the relevant certificate of the Association.
6.4. Depending on the decision of the General Meeting of the Association, a candidate may be admitted to the organization or his / her application may be rejected.
7. Circumstances and procedure for termination of membership
7.1. Membership is terminated in the following cases:
7.1.2. When the organization voluntarily withdraws from membership;
7.1.3. If it is clear that the organization provided incorrect information during the application for membership;
7.1.4. In case of violation of the requirements of the Charter of the Association and the Rules of Procedure of the Internal Regulations;
7.1.5. If you do not pay the membership fee.
7.2. A member of the Association can withdraw from membership only after the end of the financial year. An organization that voluntarily withdraws or is expelled from membership shall bear subsidiary liability for the obligations of the Association within one year from the date of withdrawal.
7.3. A member organization is expelled by the decision of the General Meeting of the Association.
8. Final Provisions
8.1. The Association is not responsible for the obligations of its members. Members of the Association are subsidiary liable for its obligations in the amount and in the manner prescribed by the charter.
8.2. The new member organization must pay the membership fee within 10 (ten) working days after admission.
8.3. A newly admitted organization shall bear subsidiary liability for the obligations incurred by the Association prior to its accession.
8.4. Re-membership of an organization expelled from the Association is not allowed.
